4.4 For Staffing Services Clients

If you engage our staffing services, you additionally agree to:

• Conduct fair and non-discriminatory hiring practices
• Respond to candidate submissions within agreed timeframes
• Honor the terms of any engagement agreement or contract
• Comply with all applicable employment laws and regulations

5. Client Service Agreements

Both engineering and staffing services are subject to separate written agreements that will specify:

6. Fees and Payment

Payment terms, invoicing schedules, and milestones will be specified in the engineering agreement.

6.2 Staffing Services Fees

Staffing clients will be charged fees as specified in their recruitment agreements. Common fee structures include:

• Percentage of Annual Salary: For permanent placements
• Hourly or Daily Rates: For contract staffing
• Retainer Fees: For executive search and RPO services
• Project-Based Fees: For specific recruitment projects

6.3 Taxes

All fees are exclusive of applicable taxes (GST, service tax, etc.), which will be added as per Indian tax laws.

7. Intellectual Property Rights

7.1 Website Content

All content on our website, including but not limited to text, graphics, logos, images, software, and design, is the property of Tranzwave Technologies and is protected by Indian and international copyright laws.

8. Confidentiality

We take confidentiality seriously and maintain strict confidentiality regarding:

• Engineering Projects: Source code, technical specifications, product designs, architecture documents, proprietary algorithms
• Client Information: Business requirements, organizational details, strategic plans, hiring needs
• Candidate Information: Resumes, qualifications, salary expectations, job search status
• Business Information: Proprietary methodologies, development processes, client relationships

Both parties agree to maintain confidentiality and not disclose any confidential information obtained through our services without proper authorization. Detailed confidentiality terms are specified in individual service agreements and NDAs.

9. Limitation of Liability

To the maximum extent permitted by Indian law:

9.1 No Warranties

Our services are provided "as is" without warranties of any kind, either express or implied, except as explicitly stated in project-specific agreements. We do not guarantee:

• That engineering solutions will be error-free or meet all client expectations (beyond agreed specifications)
• That specific candidates will be available or suitable for staffing needs
• That clients will hire any particular candidate
• The accuracy or completeness of information provided by third parties
• Uninterrupted or error-free website operation

Note: Engineering projects typically include specific warranty terms (bug fixes, support periods) as defined in the project agreement.

9.2 Limitation of Damages

Tranzwave Technologies shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from third-party integrations or dependencies
• Damages arising from candidate or client relationships in staffing services
• Actions or omissions of candidates, clients, or third-party service providers

Our total liability for any claim shall not exceed the fees paid by the client for the specific service (engineering project or staffing engagement) giving rise to the claim, or as otherwise specified in the project agreement.

9.3 Exceptions

Nothing in these Terms shall limit our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by Indian law

10. Verification, Testing, and Due Diligence

10.1 Engineering Deliverables

For engineering projects:

• We conduct internal testing and quality assurance as specified in the project agreement
• Clients are responsible for conducting their own acceptance testing and validation
• Clients should perform security audits, performance testing, and integration testing in their environment
• Bug fixes during warranty period are provided as per the agreement terms
• Production deployment and ongoing maintenance are client responsibilities unless separately contracted

10.2 Staffing Services

For candidate placements:

• We conduct preliminary screening and skills verification
• Clients are responsible for conducting their own background checks and verification
• We are not liable for any inaccuracies in candidate-provided information
• Clients should perform their own due diligence before making hiring decisions
• We recommend conducting reference checks, credential verification, and background screening as per your organization's policies

11. Termination

11.1 By Users

Candidates may withdraw from the recruitment process at any time by notifying us. Clients may terminate engineering or staffing services as per their service agreement terms, including applicable notice periods and cancellation fees.

11.2 By Us

We reserve the right to suspend or terminate access to our services if:

• You violate these Terms
• You provide false or misleading information
• You engage in fraudulent or illegal activities
• You fail to pay fees (for clients)
• We are required to do so by law

11.3 Effect of Termination

Upon termination:

• Your access to our services will cease
• Outstanding obligations (payments, confidentiality) will survive
• We may retain your information as per our Privacy Policy and legal requirements

12. Dispute Resolution and Governing Law
